Terms of Service

Busyless is a customer relationship and job management platform for contractors. It helps you manage leads and customers, create proposals and invoices, take payments, schedule jobs, make and receive calls and texts, and use AI features that draft content and handle conversations.

The Services are not designed for regulated data such as health information (HIPAA) or government systems (FISMA), and you may not use them in a way that would violate the Gramm-Leach-Bliley Act.

• Give accurate information and keep it up to date.
• Keep your password private. You are responsible for activity on your account, including by team members you invite.
• Tell us right away at support@busyless.com if you think someone used your account without permission.

• Paid plans are billed in advance on a recurring basis through Stripe, at the price shown when you subscribe, and renew automatically until cancelled.
• New companies may start with a free trial, currently 30 days. A payment card is required to start the trial, and the plan you chose is charged when the trial ends unless you cancel before then.
• You can cancel at any time in the app or on the billing page. Cancellation takes effect at the end of the current billing period. Fees already paid are not refunded, except where the law requires.
• Prices may change. We will tell you before a price change applies to your subscription.
• Phone numbers, calls, texts and AI calls may have usage limits or extra charges, shown in the app.
• Payments that your customers make on your invoices are processed by Stripe through your connected Stripe account and are subject to Stripe's terms.

You own the content and records you put into Busyless, including your customer data. You give us permission to store, process and display that content only as needed to provide and improve the Services, as described in our Privacy Policy.

You are responsible for having the right to enter and use your customers' information, and for following the laws that apply to how you contact them, including laws on calls, texts, recordings and email (for example the TCPA and CAN-SPAM). Get any consent the law requires before you call, text or email your customers through Busyless.

If you send us feedback or suggestions, we may use them without any obligation to you.

AI features, including drafted proposals, messages, call handling and suggestions, can be inaccurate or incomplete. Review AI output before you rely on it or send it. You are responsible for what you send to your customers and for prices and commitments you make to them.

You agree not to:

• use the Services for anything illegal, fraudulent or harmful;
• send spam or unwanted messages, or contact people without the consent the law requires;
• upload content you do not have the right to use, or that is harassing, hateful, obscene or misleading;
• try to gain unauthorised access to the Services or other accounts, or interfere with their security or operation;
• copy, resell, reverse engineer or build a competing product from the Services, except where the law allows;
• scrape or collect data from the Services by automated means without our permission.

We may suspend or end access for anyone who breaks these rules.

The Services, including the software, design, text and the Busyless name and logo, belong to Busyless or its licensors. We give you a limited, non-exclusive, non-transferable right to use the Services for your business while your account is in good standing.

The Services work with third-party services such as Stripe, Twilio, Google, Apple and OpenAI. Your use of those services may be subject to their own terms, and we are not responsible for them.

You can stop using the Services and delete your account at any time in the app. We may suspend or end your access if you break these Terms, fail to pay, or use the Services in a way that could harm others. After an account is deleted, its data is removed as described in our Privacy Policy, so export anything you need first.

We may change, add or remove features. We work to keep the Services available but cannot promise they will always be uninterrupted or error free, for example during maintenance or outages of our providers. We may update these Terms; for significant changes we will give notice in the app or by email, and continuing to use the Services after that means you accept the updated Terms.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT ALLOWED BY LAW, BUSYLESS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID US IN THE SIX MONTHS BEFORE THE CLAIM AROSE, OR $1,000, WHICHEVER IS LESS. SOME LAWS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.

You agree to defend and hold Busyless harmless from claims, losses and costs (including reasonable legal fees) arising from your use of the Services, your content, your contact with your customers, or your breach of these Terms or the law.

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law rules. Before starting any formal dispute, you and we agree to try to resolve it informally for at least 30 days after written notice. If that does not work, disputes will be resolved by binding individual arbitration in Summit County, Ohio, except that either party may bring claims in small claims court or seek an injunction to protect intellectual property. Disputes will be handled individually, not as a class action. Any claim must be brought within one year after it arises.

You agree that notices, agreements and records we provide electronically satisfy any requirement that they be in writing, and that electronic signatures in the Services, including signatures on proposals and change orders, are valid.

These Terms and our Privacy Policy are the whole agreement between you and Busyless about the Services. If any part is found unenforceable, the rest still applies. Our not enforcing a right is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them as part of a merger or sale of our business.
